Good luck. assuming you are the CEO, one thumb rule is to *always* be on the lookout for money. VCs term sheet ki no chepthey badnam avudu emi undadhu. typically, you invite multiple term sheets when you are ready for that kind of growth+scrutiny. a piece of advice to investors - with further rounds, you will get diluted. assuming the total value keeps going up, that should not impact you much but if it does not & if this goes belly up for whatever reason, the big investors get the remaining assets+cash first before the small guys do. in effect, whether this closes out, OR if it gets sold out for less than the total asset value, you may end up with nothing. PE investing is not just about risk appetite but also about what terms of the deal *you* are getting. | ||

Though it is advisable to get one angel at this stage instead of a bunch of small amounts of money, handling many small investors is sometimes much easier. One angel investing a lot of money himself would have very onerous terms and lots of veto rights and protective clauses. A pool of small investors may not need all these clauses. At this stage better to let go of 10-15% equity and then do a Series B round diluting a further 15-20% at a higher value. | ||

I don't call it a success yet... still long way to go before it can be called success I haven't seen the real money yet. I am in the process of launching private equity offering to expand the chain to next level and also to acquire couple of vendors and tolease a farm to grow our own produce and dairy to supply to all the locations etc. This is to market our chain as "Farm to Table" concept. As usual, i wanted to check if anyone here would be interested as DBers were always involved in someway or the other from the beginning. Private equity offering will be done by professionals and filed with all the regulatory agencies. This offering is used to build the brand and create awareness, to apply for franchise approval, build commercial kitchen & warehouse that will support all locations etc. Pricing details etc are still being working on. But are talking about 100 per share and 100 shares minimum per investor. Planning to raise 2M in this round. Some of the HNIs / small institutions are ready take big chunks. Plan is to go for venture capitalists after 1 year and if everything works well, all the investors of this round may get multifold returns. BUT as with any other investment of this kind, it can be quite risky even though we have solid plan and vision. Planning to do a 60 mins conf / webex very shortly with complete investment proposal.
