Most takeovers target compay goes up and company taking over goes down. This is because target company gets a premium over whatever the stock was before th talk of merger. Last 10 yrs lo we saw it heavily in airline industry. When United and Continental merged, the Justice Department okayed the deal after UAL established there is no 'significant ' overlap in the routes. A similar thing happened with AA and Us Air. Another example, Whole Foods and wild oats was one such but wholefoods and Amazon is not In this case this is a acquisition in vertical market. So far there are no established norms for antitrust. Doj claims the price disadvantage to consumer as its antitrust basis. That is not a winnable argument!! Now Trump may not be reason for stakes in this antitrust battle but his tweets doesn't help. now continuing the above point, DoJ need to establish precedence for antitrust which is going to be tall order. The current fight will pave way for future antitrust violations in case vertical mergers. When something happens against norm, it will be challenged in court. That is what happened here. There is no context for hostile take over. I agree with you in saying Doj is independent and I hope it stays that way. Institutions are larger than individuals !! These are the checks and balances that keep American system function with decent credibility. | ||
